1. About CapitalHub
CapitalHub is an online marketplace that facilitates introductions and transactions between property sourcers (“Sourcers”) and property investors (“Investors”).
CapitalHub provides a technology platform only. CapitalHub does not act as an estate agent, broker, financial adviser, legal adviser, or agent for any user, and is not a party to any agreement or transaction entered into between Sourcers and Investors.
All negotiations, agreements, and transactions take place directly between users.

2. Eligibility
By using the Platform, you confirm that:
• You are at least 18 years old;
• You have the legal capacity to enter into binding contracts;
• All information you provide is accurate, complete, and kept up to date.

3. Accounts and Membership
To access the Platform, users must create an account.
You agree to:
• Keep your login details confidential and secure;
• Not share, transfer, or misuse your account;
• Notify CapitalHub immediately of any unauthorised access.
CapitalHub may suspend or terminate accounts that breach these Terms or misuse the Platform.

4. Verification
Sourcers may be required to provide verification documents, including but not limited to:
• Membership of a recognised redress scheme (e.g. The Property Ombudsman or PRS);
• A valid ICO registration number;
• Proof of business registration or trading status.
Failure to provide requested verification may result in restricted access or removal from the Platform.

5. Payments, Platform Fees, and Escrow
5.1 Platform Transaction Fee
CapitalHub charges a platform fee equal to ten percent (10%) of the total agreed deal fee for any deal completed through the Platform.
The platform fee is a flat, fixed percentage and is not tiered, capped or variable based on deal value.
5.2 Fee Deduction
Where a Sourcer lists, markets, or agrees to sell a deal for a stated fee, the Sourcer expressly acknowledges and agrees that:
• CapitalHub’s platform fee is deducted from the total deal fee, not added on top; and
• The remaining balance is payable to the Sourcer after deduction of CapitalHub’s fee.
Illustrative examples (for clarity only):
• £2,000 deal → £200 platform fee → £1,800 payable to the Sourcer
• £4,000 deal → £400 platform fee → £3,600 payable to the Sourcer
5.3 Authorisation
By listing or completing a deal on the Platform, the Sourcer authorises CapitalHub to deduct its platform fee in accordance with these Terms.

5.4 Escrow and Payment Processing
Payments may be processed using independent third-party escrow or payment providers.
CapitalHub:
• Facilitates access to escrow services where available;
• Does not hold, control, or safeguard client funds unless explicitly stated;
• Is not responsible for the actions, failures, or disputes arising from third-party payment providers.
Use of escrow services is subject to the terms and conditions of the relevant provider.

5.5 Non-Refundability of Transaction Fees
Platform transaction fees are non-refundable, except where required by law.

6. Membership Fees and Subscriptions
6.1 Membership Plans
CapitalHub may offer paid membership or subscription plans that provide access to enhanced features or services.
6.2 Recurring Billing and Renewal
Membership fees are charged on a recurring basis (monthly or annually, as stated at checkout) and automatically renew at the end of each billing period unless cancelled prior to renewal.
6.3 Cancellation
Users may cancel their membership at any time via their account settings or by contacting CapitalHub.
Cancellation will take effect at the end of the current billing period, and access will continue until that time.
6.4 No Refunds for Active Periods
Membership fees are non-refundable for partially used billing periods, except where required by law.
6.5 Changes to Membership Fees
CapitalHub may amend membership pricing or plans upon reasonable notice. Continued use of the Platform following such notice constitutes acceptance of the updated fees.

7. User Responsibilities
7.1 Investors
Investors are solely responsible for carrying out their own due diligence, including legal, financial, and tax checks, before entering into any transaction.
7.2 Sourcers
Sourcers must ensure that:
• All listings are accurate, lawful, and not misleading;
• They have the legal right to market the deal;
• All applicable laws and regulations are complied with.

8. Use of the Platform and Non-Circumvention
Users agree not to:
• Post false, misleading, or unlawful content;
• Attempt to manipulate or misuse the Platform;
• Circumvent the Platform to avoid payment of CapitalHub’s fees after an introduction has been made through the Platform.
CapitalHub reserves the right to take enforcement action where circumvention is suspected.

9. Data Protection and Privacy
CapitalHub processes personal data in accordance with the UK Data Protection Act 2018 and UK GDPR.

10. Limitation of Liability
To the fullest extent permitted by law, CapitalHub shall not be liable for:
• Losses arising from transactions between users;
• The accuracy or completeness of listings;
• Disputes between Sourcers and Investors;
• Platform downtime or technical issues.
CapitalHub’s total liability shall not exceed the total fees paid by the user to CapitalHub in the preceding 12 months.

11. Termination
CapitalHub may suspend or terminate accounts where users breach these Terms or act in a manner harmful to the Platform or its users.
Users may close their account at any time.

12. Intellectual Property
All Platform content, branding, and materials are owned by CapitalHub unless otherwise stated. No content may be reproduced without written permission.

13. Governing Law
These Terms are governed by and interpreted in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
